The purchase of Premium services, specialized services, or services provided by third parties may also be subject to proposals, service orders, agreements, or other specific terms, which shall be communicated in advance.

Depending on the service used or purchased, the experience may include, among other components: Discovery, Your Expansion View, Premium, Advisory, Sherpa, Operation Hub, and The Hive.
beeside does not guarantee that any particular expansion, investment, market entry, engagement, project, or business decision will achieve a specific outcome. Business decisions shall at all times remain the responsibility of the Client.
3. DEFINITIONS
For purposes of these Terms, the following terms shall have the meanings set forth below:
- Platform or beeside: the website, applications, tools, and digital services operated under the beeside brand by Innworking Networks, S.A. de C.V.
- User: the individual who accesses or uses beeside on their own behalf or as a representative of a company, with the legal capacity to do so.
- Client or Client Company: an individual engaged in business activities or a legal entity that uses beeside services.
- Discovery: an initial tool that collects information regarding an expansion project and generates an initial structured interpretation thereof. It may be offered free of charge.
- Your Expansion View: the result, view, report, or deliverable generated as a result of the Discovery.
- Premium: a set of additional paid features and services that the Client may purchase after Discovery, which may include analysis, coordination, Advisory, Operation Hub, Sherpa, and access to Specialists.
- Sherpa: a project guidance, coordination, and monitoring function included in certain services. The Sherpa does not act as the Client’s legal representative, does not provide legal, tax, accounting, technical, or regulatory advice, and does not guarantee performance of third-party obligations or the issuance of governmental permits, licenses, or approvals.
- Operation Hub: a project coordination and monitoring environment that may incorporate communication tools, documents, tasks, progress tracking, alerts, and other features, and that may rely on third-party infrastructure or software.
- The Hive: an ecosystem of independent firms, specialists, and providers that beeside identifies, evaluates, or admits in accordance with its internal criteria to participate, where applicable, in Premium projects.
- Partner or Specialist: a third party independent of beeside that may provide services directly to the Client or collaborate on a project coordinated through beeside. The Partners and Specialists of The Hive are independent of Innworking Networks, S.A. de C.V. To be eligible to participate in Premium projects, each Partner or Specialist must have entered into a confidentiality and data protection agreement with beeside requiring it to handle Client information with at least the same level of protection as beeside applies under its Privacy Notice; in such case, it may act as an Authorized Partner or Specialist pursuant to Clause 7.
- Deliverables: analyses, reports, documents, dashboards, recommendations, and other materials prepared by beeside specifically for a Client.
4. DISCOVERY
The Discovery is a tool intended to help the User structure and understand certain aspects of an expansion project. Its results are generated based on information provided by the User and on the methodology and analysis criteria used by beeside.
The Discovery and Your Expansion View constitute initial business guidance. Unless expressly established in a future product, they do not constitute:
- a credit rating, certification, approval, audit, or conclusive due diligence;
- a legal, tax, accounting, financial, regulatory, labor, customs, or technical opinion;
- investment advice;
- a guarantee of feasibility or promise of project success.
The User shall obtain specialized professional advice before making decisions that require such advice due to their nature or scale.
5. INFORMATION PROVIDED BY THE USER
The usefulness and accuracy of beeside analyses depend on the quality of the information received. The User undertakes to provide information that, to the best of their knowledge, is truthful, sufficiently complete, and current.
The User acknowledges that incorrect, outdated, incomplete, or inaccurate information may affect the conclusions, analyses, and recommendations generated. beeside shall not be liable for errors in a result that are reasonably attributable to incorrect or incomplete information provided by the User.
When providing information or personal data relating to third parties, the User represents that they possess the necessary authority, authorizations, or lawful grounds to do so and that their disclosure to beeside complies with applicable law.
The User shall refrain from including sensitive personal data or third-party personal information that is unnecessary for the project.
6. FROM DISCOVERY TO PREMIUM
Completing a Discovery does not obligate the User to purchase Premium or any other beeside service. Upon completing the Discovery, the User may freely decide whether to continue.
Any paid Premium service must identify its scope, essential features, and applicable financial terms in advance. No charge for a Premium service shall be deemed authorized solely by completing a Discovery.
beeside shall issue proposals, statements of work, service orders, or specific agreements when necessary. In the event of a conflict between these general Terms and the conditions expressly agreed upon for a Premium service, the specific conditions shall prevail solely with respect to that service.
7. PROJECT CONFIDENTIALITY BEFORE PREMIUM AND SHARING WITH AUTHORIZED PARTNERS AND SPECIALISTS
Project-specific information provided during the Discovery shall not be shared with Partners, Specialists, or providers in The Hive for purposes of requesting quotes or proposals or initiating work on the project while the User remains at the pre-Premium stage.
The foregoing does not prevent beeside from using technology providers acting on behalf of beeside that are necessary to operate the Platform’s infrastructure, storage, security, email, or other technical features, subject to applicable legal and contractual obligations.
By accepting these Terms, the Client grants beeside advance and conditional authorization to share project information with Authorized Partners and Specialists of The Hive involved in performing the Premium service that the Client elects to purchase. This authorization applies solely on the following terms:
- It becomes effective only when the Client purchases a Premium service and only as to the information necessary to perform that specific service.
- Only Partners or Specialists who, pursuant to Clause 3, have entered into the confidentiality and data protection agreement required to act as Authorized Partners or Specialists may receive project information.
- Before or upon purchase of the Premium service, beeside shall inform the Client which Authorized Partner or Specialist will participate in the project.
- The shared information may not be used by the Authorized Partner or Specialist for any purpose other than performing the purchased service.
The processing of personal data arising from this clause shall in all cases be governed by the beeside Privacy Notice in effect at the time of purchase. The authorization provided herein constitutes the contractual basis for sharing information in the course of service performance and is independent of the consent for commercial communications governed by Clause 16.
8. PREMIUM, SHERPA & OPERATION HUB
Premium services may include different levels of analysis, guidance, and coordination depending on the product purchased.
Where a project includes a Sherpa, its function shall be to facilitate project coordination, monitoring, and visibility within the purchased scope. The Sherpa role does not make beeside a legal representative, fiduciary, administrator, attorney-in-fact, or party responsible for the professional obligations of Specialists or third parties, unless expressly agreed otherwise.
Operation Hub may rely on third-party infrastructure or software. Accordingly, certain features shall be subject to those providers’ technical availability. beeside may develop or change the tools used, provided that doing so does not substantially diminish a contractual obligation already assumed toward the Client.
9. THE HIVE & PARTICIPATION OF PARTNERS AND SPECIALISTS
The Hive consists of companies, firms, and specialists independent of beeside. beeside applies internal criteria for evaluating, selecting, and monitoring its Partners and Specialists, including execution of the confidentiality and data protection agreement described in Clause 3 as a condition of eligibility for Premium projects; however, the admission of a provider into The Hive does not constitute an absolute guarantee of its future performance.
Where a service is to be provided in whole or in part by a Partner or Specialist, beeside shall inform the Client, before purchase, of the provider’s identity, the applicable contractual structure, and the party responsible for that service.
Partners and Specialists of The Hive invoice the Client directly for the services they provide, pursuant to the agreement entered into with each of them. beeside is not a party to that contractual relationship unless expressly stated otherwise in the corresponding proposal or statement of work.
beeside shall not be liable for professional obligations that fall exclusively upon an independent third party, without prejudice to any coordination or service obligations expressly assumed by beeside.
10. PRICING, ENGAGEMENT AND PAYMENTS
Discovery may be offered free of charge. Prices for Premium and any additional services shall be communicated before purchase.
No charge for a Premium service shall be deemed authorized solely by completing a Discovery.
The mechanisms for engagement, invoicing, payment, cancellation, or refunds applicable to each service may be established in the corresponding proposal, service order, or agreement. Innworking Networks, S.A. de C.V. shall issue the applicable tax invoices for consideration received directly for services provided through beeside.
10.1 Fee adjustments
beeside may modify its fees, price lists, and general financial terms as necessary due to changes in operating costs, changes in its service offerings, or market conditions.
Any fee change shall be notified to the Client by email sent to the address registered in the Client’s beeside account at least thirty (30) calendar days before the new price becomes effective. Email notice sent to the registered address constitutes valid and sufficient written notice for all legal purposes, in accordance with Article 89 of the Mexican Commercial Code (Código de Comercio).
If the Client does not cancel their subscription or recurring service before the effective date stated in the notice, continued use of the Platform or the relevant service shall be deemed acceptance of the new price for subsequent periods. A Client who does not accept the fee adjustment may cancel the service before the effective date without incurring any penalty for the unused portion of the service.
Fee adjustments do not apply to Premium projects already contracted and underway at the time of notice; the price agreed upon in the relevant proposal, service order, or agreement shall remain in effect until completion of that project. The new price shall apply upon renewal or purchase of a new Premium service after the effective date.
11. OWNERSHIP OF CLIENT INFORMATION
Information, documents, data, and materials provided by the Client to beeside shall remain the property of the Client or their respective owners. The Client grants beeside only such authorizations as are necessary to host, organize, process, analyze, use, and, where applicable under Clause 7, share such information with Authorized Partners and Specialists, for purposes of providing the requested services and fulfilling the purposes set out in the Privacy Notice.
Providing information to beeside does not transfer ownership thereof.
12. BEESIDE INTELLECTUAL PROPERTY
beeside, its identity, brand, software, Platform structure, methodologies, models, frameworks, processes, questionnaires, analysis systems, interfaces, designs, knowledge bases, content, and other proprietary elements are owned by Innworking Networks, S.A. de C.V., its licensors, or InnOv Soluciones Estratégicas, S.A. de C.V., as applicable to rights undergoing assignment in accordance with the group’s corporate structure.
The User does not acquire ownership rights in those elements by using the Platform. Reproduction, commercial exploitation, reverse engineering, systematic extraction, adaptation, or use thereof to develop competing products or services is prohibited, except where expressly authorized by beeside or expressly otherwise provided by applicable law.
13. USE OF YOUR EXPANSION VIEW AND OTHER DELIVERABLES
Unless a specific proposal provides otherwise, the Client may use Deliverables prepared specifically for their project for their own business and decision-making purposes.
The Client may share them internally and with its directors, employees, advisers, investors, financing parties, or public agencies where there is a legitimate business purpose. This authorization includes their use as reference or supporting materials when seeking financing or capital or in dealings with authorities, without implying that beeside certifies, endorses, or guarantees the project’s financial feasibility.
This authorization does not transfer beeside’s underlying methodologies, frameworks, technology, templates, or intellectual property. Deliverables may not be marketed, resold, published as the Client’s own products, or modified to present them as a certification issued by beeside without express authorization.
14. PERMITTED USE OF THE PLATFORM
The Platform shall be used exclusively for lawful purposes consistent with its business nature. The following are prohibited:
- committing fraud or impersonating others;
- interfering with Platform security or accessing systems or accounts without authorization;
- introducing malicious code, malware, or similar tools;
- conducting unauthorized scraping or bulk extraction of Platform data or content;
- engaging in reverse engineering in violation of applicable law;
- using abusive automated mechanisms or attempting to circumvent technical or commercial controls implemented by beeside;
- using beeside in a manner that violates third-party rights or applicable law.
beeside may take reasonable measures to prevent abuse, fraud, attacks, and misuse.
15. ACCOUNTS, LEGAL CAPACITY AND SECURITY
By accepting these Terms, the User represents that they have full legal capacity to bind themselves or, if acting on behalf of a company, that they have sufficient authority to bind that company. beeside assumes no responsibility for acceptance by persons lacking the requisite authority.
Where a feature requires an account, the User shall be responsible for maintaining the confidentiality of their credentials and for actions taken under their account. The User shall notify beeside upon becoming aware of unauthorized access.
beeside may implement authentication, verification, and access control procedures that it reasonably considers necessary to protect the Platform and its users.
16. PERSONAL DATA PROTECTION
The processing of personal data by Innworking Networks, S.A. de C.V. as data controller shall be governed by applicable Mexican law, including the Federal Law on the Protection of Personal Data Held by Private Parties (Ley Federal de Protección de Datos Personales en Posesión de los Particulares) and other provisions in force. The competent federal authority in this area is the Ministry of Anti-Corruption and Good Governance (Secretaría Anticorrupción y Buen Gobierno).
The specific characteristics of processing, categories of data collected, purposes, mechanisms for limiting certain uses, transfers, retention, ARCO rights, and other legally required information shall be described in the beeside Privacy Notice, which is a legal document separate from these Terms.
Acceptance of these Terms constitutes the contractual basis for processing project information to perform the service, including sharing it with Authorized Partners and Specialists pursuant to Clause 7. Such acceptance does not, however, constitute authorization to receive commercial communications; consent for those communications shall be managed through an independent, separate, and unchecked-by-default mechanism.
beeside shall apply reasonable administrative, technical, and physical safeguards to protect personal data. No Internet-connected system can guarantee absolute security, and beeside shall make no representations implying such a guarantee.
17. CONFIDENTIALITY
beeside and the Client shall keep confidential the commercial, strategic, financial, technical, or operational information received from the other party that should reasonably be understood to be confidential, throughout the relationship and for five (5) years following its termination.
beeside shall restrict access to project information to persons, providers, and Authorized Partners or Specialists who reasonably need to know such information to perform their functions under the purchased service, subject to the applicable confidentiality and data protection obligations under Clauses 3 and 7.
Information shall not be confidential if it becomes public without breach of these obligations, was already lawfully known to the receiving party before receipt from the other party, is lawfully obtained from a third party authorized to disclose it, or must be disclosed under law or an order or request of a competent authority.
18. PLATFORM AVAILABILITY & DEVELOPMENT
beeside shall endeavor to keep the Platform reasonably available but does not guarantee uninterrupted availability. Interruptions may result from maintenance, updates, third-party infrastructure, security incidents, connectivity, or other circumstances beyond beeside’s reasonable control.
beeside may modify, improve, replace, or discontinue features, while endeavoring not to unjustifiably affect obligations already assumed for paid and ongoing services. Where a purchased feature is materially modified, beeside shall notify the Client reasonably in advance.
19. LIMITATION OF ANALYSIS & EXTERNAL CHANGE
Regulatory, economic, market, commercial, logistical, or other information may change after an analysis or Deliverable is generated. The Client shall consider the issuance date and verify information that may have changed by its nature before making material decisions.
beeside does not guarantee that information obtained from external sources will remain current indefinitely. The validity of a Deliverable is not automatically extended merely by the passage of time.
20. LIMITATION OF LIABILITY
20.1 Obligations Assumed by beeside
beeside is responsible solely for performance of its own direct obligations, comprising: (i) technical operation of the Platform in accordance with reasonable availability standards; (ii) confidentiality of project information under Clauses 7 and 17; (iii) project coordination in Premium services for which it has expressly undertaken such responsibility; (iv) reasonable selection of Authorized Partners and Specialists in accordance with the criteria in Clause 3; and (v) compliance with the Privacy Notice and applicable personal data protection laws.
20.2 Exclusions of Liability
To the fullest extent permitted by applicable law, beeside shall not be liable for:
- Commercial, economic, regulatory, tax, operational, or investment outcomes resulting from decisions made by the Client, including decisions based on Your Expansion View or other Deliverables. The performance, quality, or fulfillment of professional obligations by Partners and Specialists of The Hive, who are service providers independent of beeside.
- Damages resulting from incorrect, incomplete, or outdated information provided by the Client pursuant to Clause 5.
- Regulatory, market, political, or economic changes occurring after the issuance date of a Deliverable.
- Indirect damages, lost opportunities, or lost profits arising from causes unrelated to beeside’s direct breach of the obligations listed in Section 20.1.
- Service interruptions resulting from failures of third-party technology providers’ infrastructure beyond beeside’s direct control.
20.3 Financial Liability Cap for Premium Services
Where the Client establishes direct damages caused by a breach of the obligations listed in Section 20.1, beeside’s maximum financial liability for all claims arising from a specific Premium project shall not exceed fifteen percent (15%) of the amount actually paid by the Client to Innworking Networks, S.A. de C.V. for that project.
For free services, including the Discovery, the disclaimers in Clause 4 define the scope of the service provided. Any claim arising from the Discovery must establish a direct breach of the obligations under Section 20.1 and the damages actually caused; no predetermined liability amount applies in this case.
20.4 Liability That May Not Be Limited
No provision of this Section limits beeside’s liability in cases of intentional wrongdoing or bad faith, or with respect to obligations that, by express provision of law, may not be limited or excluded, including obligations arising under applicable personal data protection laws.
21. SUSPENSION OR RESTRICTION OF ACCESS
beeside may temporarily restrict or suspend access where there are reasonable indications of fraud, unlawful use, security attacks, impersonation, material breach of these Terms, or risk to other users or the Platform. Suspension of an account does not extinguish obligations that by their nature must survive.
beeside may permanently terminate an account where the cause of suspension is not remedied within a reasonable time or where the seriousness of the breach so warrants. Where circumstances permit, beeside shall endeavor to notify the User before implementing the measure.
22. LEGAL CAPACITY AND MINORS
beeside is designed for companies, entrepreneurs, executives, representatives, and professionals acting in a business context. The Platform is not directed at minors.
If beeside becomes aware that a minor has provided personal data without the legally required authorizations, it shall delete that information in accordance with the Privacy Notice and applicable law.
23. FORCE MAJEURE
Neither party shall be liable for nonperformance directly resulting from events beyond its reasonable control, including natural disasters, conflicts, widespread infrastructure failures, acts of governmental authorities, or comparable events.
Force majeure does not relieve the Client of the obligation to pay for Premium services actually provided before the force majeure event, nor does it relieve beeside of its personal data protection obligations.
24. ELECTRONIC ACCEPTANCE AND VERSION OF THE TERMS
Acceptance of these Terms shall be made through the clickwrap mechanism provided by beeside on the Platform, in accordance with Article 89 of the Mexican Commercial Code (Código de Comercio). beeside shall retain electronic evidence of each acceptance, including the user identifier, date, time, and version of the Terms accepted (FA-TC-1.0 or the version in effect at the time of acceptance).
beeside may update these Terms as necessary due to development of the Platform, operational changes, or regulatory amendments. Each version shall be identified by a version number and effective date, and beeside shall retain copies of all published versions. Where a change is material, beeside shall require renewed express acceptance by the User or communicate it through reasonably appropriate mechanisms with sufficient advance notice.
25. RELATIONSHIP WITH THE PRIVACY NOTICE
The beeside Privacy Notice is a legal document separate from these Terms and governs personal data processing in detail. Acceptance of these Terms constitutes the contractual basis for processing necessary to perform the service, including sharing information with Authorized Partners and Specialists under Clause 7.
Such acceptance does not replace the consent, objection, or information mechanisms applicable to secondary purposes—particularly commercial communications—or to processing for which applicable law requires a different legal basis. In the event of any conflict concerning personal data processing, the Privacy Notice and applicable law shall govern.
26. GOVERNING LAW, DISPUTE RESOLUTION AND JURISDICTION
These Terms shall be governed by the laws of the United Mexican States.
In the event of any dispute arising from these Terms or use of the Platform, the parties shall endeavor to resolve it through direct negotiations within thirty (30) calendar days after written notice by the party raising the dispute. If no agreement is reached, the parties may submit the dispute to mediation before a center mutually agreed upon. If those mechanisms are exhausted without resolution, the parties submit to the jurisdiction of the competent courts of Mexico City.
The foregoing shall not exclude the application of consumer protection laws or other mandatory provisions where legally applicable.
With respect to language, the Spanish version of these Terms is legally binding. The English version available at beeside.you is a reference translation; in the event of any interpretive difference or conflict, the Spanish text shall prevail in all cases.
27. GENERAL PROVISIONS
The invalidity or unenforceability of any provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
beeside’s failure to exercise any right at a particular time shall not constitute a waiver thereof or prevent its subsequent exercise.
The specific terms for a Premium service may supplement these Terms. In the event of a conflict, the specific terms shall prevail over the general Terms solely in relation to the particular service to which they refer.
These Terms, together with any applicable specific terms, the Privacy Notice, and any applicable Premium agreements, constitute the entire contractual framework governing use of beeside.
